When Bridge Funding May Be Worth Considering
The cost of bridge financing is usually higher than a standard facility — so it's worth being clear on when that trade-off actually pays off.
The core trade-off
Bridge financing typically costs more than conventional facilities, reflecting its short tenure and the lender's assessment of the interim risk before the bridge event closes. It tends to make sense when the cost of the bridge is smaller than the value lost by missing the timing of the underlying event — a deal deadline, a discount that expires, or an opportunity that won't wait.
Situations where it commonly applies
- An asset sale is agreed but not yet closed, and funds are needed before the closing date to meet another obligation.
- A refinancing is underway but the existing facility needs interim support until the new one is disbursed.
- An investment round has a signed term sheet but the actual funds haven't been transferred yet.
- A time-sensitive opportunity — an acquisition, a limited-window purchase — requires funds faster than a standard facility could be arranged.
When it's usually not the right fit
Bridge financing tends to be a poor fit where there's no clear, near-term repayment event — using it to cover an open-ended cash-flow gap without a specific trigger event generally just defers the underlying problem at a higher cost. It's also less suitable where the anticipated event carries significant uncertainty about whether or when it will actually close.
What determines whether a lender will offer it
How concrete the repayment event is (a signed agreement carries more weight than a stated intention), the interim security available, and what happens if the event is delayed all factor into whether — and on what terms — a lender considers a bridge facility.
A practical starting point
Testing the underlying assumption honestly: is there a genuinely identifiable, near-term event that will generate the repayment, or is this really an open-ended cash-flow need dressed up as a bridge requirement?
